POSITION SUMMARY:

 

We are seeking a transactional attorney with strong academic and professional credentials that include a minimum of 3 years of experience at a major law firm or an in-house legal department of a public company.  The primary responsibility is to assist with our general corporate legal needs, including M&A, securities, corporate governance, board activities, subsidiary matters, general real estate, contract review and more.  Experience with financial institutions is preferred but not required.

 

You will be part of a growing, collegial and dynamic organization and an expanding legal/corporate secretary department currently with five lawyers.  Our legal department serves as a key business partner and advisor within our organization.  You will report to the SVP and Assistant General Counsel and will interact with the EVP, General Counsel and Corporate Secretary and other members of the legal department as well as executive management.

REQUIRED EDUCATION, EXPERIENCE AND SKILLS:

  • Juris Doctor degree from an accredited law school and a licensed attorney in good standing with the Bar of the State of Illinois.
  • Minimum of 3 years of experience at a major law firm or an in-house legal department of a public company.
  • Background with banks or other financial institutions preferred but not required.
  • Substantive experience in one or more of the following areas desirable: (1) real estate transactions, including negotiation of leases and related agreements, (2) employment and non-compete agreements, or (3) registered investment advisors.
  • Ability to apply sound and practical business judgment to legal matters and to work closely with members of the legal/corporate secretary department.
  • Ability to consult with and advise management at all levels.
  • Strong interpersonal and writing skills. Strong organizational skills.
  • Ability to work independently and manage legal projects from inception to conclusion

DUTIES/RESPONSIBILITIES:

  • Assist with our M&A activities from start to finish, including target analysis, due diligence, negotiation of acquisition and ancillary agreements, regulatory applications, SEC filings and closing and post-closing matters.
  • Analysis and preparation of Board and Board Committee materials.
  • Prepare, review and file proxy statements, reports (including 8-Ks, 10-Qs, 10-Ks and Section 16 reports) and registration statements with the SEC.
  • Work on various general corporate and public company/SEC matters.
  • Assist with annual reporting and entity maintenance for our various subsidiaries.
  • Review and negotiate various contracts, including confidentiality agreements, employment agreements, leases and vendor contracts.
  • Advise management at all levels with respect to various legal issues.
  • Serve as a strategic legal partner and advisor to First Midwest’s business teams.
  • Coordinate and work on various corporate projects as determined by the SVP, Assistant General Counsel and other members of the legal team.
